1. Acceptance

These terms govern access to and use of the Mantis AI website and, where a separate agreement does not apply, the Mantis Clinic and Mantis Care services provided by [Legal Entity Name], [Registered Address]. By using the site or the services you agree to these terms.

Where a signed master services agreement or order form exists between Mantis AI and a customer organization, that agreement prevails over these terms in the event of a conflict.

2. Nature of the Service

Mantis is a documentation platform. It captures healthcare and care interactions and generates draft transcripts, summaries, and structured records.

Mantis does not provide medical advice, diagnosis, clinical decision support, treatment recommendations, or medication guidance, and it must not be used as a substitute for professional clinical judgement.

3. Professional Review Obligation

All documentation generated by Mantis is a draft. Authorized healthcare professionals must review, correct where necessary, and approve every record before it is used, relied upon, shared, or transferred into any clinical or care system.

The customer organization is responsible for ensuring that review and approval workflows are followed and that authorized personnel are properly trained.

4. Customer Responsibilities

The customer organization is responsible for:

• —Establishing a lawful basis for capturing and processing patient, resident, and staff data.
• —Providing required notices and obtaining any required consents from patients, residents, families, and staff.
• —Configuring privacy, retention, access, and export settings appropriately for its jurisdiction and policies.
• —Managing user accounts, roles, and credentials, and revoking access when it is no longer needed.
• —Ensuring the accuracy of records before integration with any EHR, EMR, HBYS, or care management system.

5. Acceptable Use

You may not use the services to record interactions unlawfully, to circumvent access controls or audit logging, to reverse engineer the platform, to interfere with its security or availability, or to process data for purposes not permitted by the applicable agreement.

6. Intellectual Property

Mantis AI and its licensors retain all rights in the software, hardware designs, documentation, and trademarks. Customer content, including transcripts and generated records, remains the property of the customer organization or the relevant data controller.

7. Availability and Changes

Service levels, maintenance windows, and support commitments are defined in the applicable agreement. We may modify or discontinue features, and we will give reasonable notice of material changes affecting contracted functionality.

8. Disclaimers and Liability

Except as expressly stated in a written agreement, the website and any evaluation access are provided on an as-is basis without warranties of any kind. Nothing in these terms excludes liability that cannot be excluded under applicable law.

Liability limitations, indemnities, and remedies for contracted customers are set out in the applicable master services agreement.

9. Governing Law
